Terms and Conditions for the Partnership Program
Effective Date: November 1, 2024
These Terms and Conditions ("Terms") govern your participation in the Global Freight Brokers Partnership Program ("Program"). By applying to or participating in the Program, you ("Partner") agree to comply with these Terms. If you do not agree to these Terms, do not apply or participate in the Program.
1. Definitions
For the purposes of these Terms:
“Company” refers to Global Freight Brokers.
“Partner” refers to the applicant or business entity accepted into the Program.
“Program” refers to the Global Freight Brokers Partnership Program.
“Services” refer to the logistics and freight brokerage services provided by the Partner or the Company under this Program.
2. Eligibility
To be eligible for the Program, the Partner must:
Be a registered business in Canada with a valid business number.
Hold all necessary certifications, licenses, and permits required by Canadian federal, provincial, and local laws for the services they provide.
Maintain adequate insurance coverage, including but not limited to commercial general liability, cargo insurance, and automobile liability, as applicable.
Demonstrate operational reliability, efficiency, and a commitment to customer service.
The Company reserves the right to accept or reject any application at its sole discretion.
3. Partner Obligations
As a Partner, you agree to:
Provide accurate and up-to-date information during the application process and notify the Company of any changes.
Deliver services in accordance with agreed-upon terms, schedules, and industry standards.
Comply with all applicable laws, regulations, and safety standards, including but not limited to the Transportation of Dangerous Goods (TDG) Act, Canada Labour Code, and Highway Traffic Act.
Maintain appropriate insurance coverage and provide proof upon request.
Cooperate with the Company’s team to resolve any client disputes, delays, or service issues promptly.
Failure to meet these obligations may result in suspension or termination from the Program.
4. Company Obligations
The Company agrees to:
Review and process Partner applications in a timely manner.
Provide Partners with service opportunities that match their capabilities.
Facilitate communication between the Partner and clients when necessary.
Ensure timely payment for completed services in accordance with Section 6 of these Terms.
Offer support to help Partners meet regulatory and compliance requirements when applicable.
5. Service Standards
Partners are expected to:
Meet or exceed industry standards for the delivery of logistics and freight services.
Provide real-time updates on service progress and report any delays or incidents immediately.
Ensure proper handling, storage, and transportation of goods, particularly for specialized or sensitive shipments (e.g., hazardous materials, temperature-controlled goods).
The Company reserves the right to conduct periodic audits to ensure compliance with these standards.
6. Payment Terms
The Company will process payments to the Partner for completed services in accordance with the agreed-upon rates and terms.
Invoicing: Partners must submit accurate invoices for completed services within 7 days of service completion.
Payment Schedule: Payments will be made within 30 business days after the receipt of a valid invoice.
Volume Incentives: Partners may be eligible for additional incentives based on the volume of services provided and performance metrics.
Deductions: The Company reserves the right to deduct any costs incurred due to delays, damages, or non-compliance from the Partner’s payment.
7. Confidentiality
Partners agree to keep all information related to the Company, its clients, and the Program confidential. This includes, but is not limited to, client details, pricing, and proprietary processes. Confidential information may not be disclosed to any third party without prior written consent from the Company, except as required by law.
8. Termination
Participation in the Program may be terminated by either party with 7 days’ written notice. The Company may terminate participation immediately if the Partner:
Breaches any of these Terms.
Fails to maintain necessary licenses, certifications, or insurance.
Engages in fraudulent or unethical behavior.
Causes significant delays, damages, or customer dissatisfaction.
Upon termination, the Partner must fulfill any outstanding service obligations and return or destroy any confidential information received.
9. Limitation of Liability
The Company shall not be liable for any indirect, incidental, special, or consequential damages arising from participation in the Program. This includes, but is not limited to, loss of profits, data, or business opportunities. The Company’s total liability for any claim related to the Program shall not exceed the total amount paid to the Partner in the preceding 12 months.
10. Indemnification
Partners agree to indemnify and hold harmless Global Freight Brokers, its affiliates, and employees from any claims, damages, or expenses (including legal fees) arising from:
The Partner’s breach of these Terms.
Non-compliance with applicable laws and regulations.
Any claims made by third parties, including clients, resulting from the Partner’s services.
11. Governing Law and Dispute Resolution
These Terms and Conditions are governed by the laws of the Province of Ontario, Canada. Any disputes arising under or in connection with these Terms shall be resolved through good-faith negotiation. If a resolution cannot be reached, the dispute shall be subject to the exclusive jurisdiction of the courts in Ontario.
12. Changes to the Terms
The Company reserves the right to update or modify these Terms at any time. Changes will be communicated to Partners and will take effect immediately upon posting to our website or notification via email. Continued participation in the Program after changes are made constitutes acceptance of the updated Terms.
